Terms of Use

These Terms of Use are issued by Marine Weather Intelligence, a company registered under number 949 451 827 R.C.S. Lorient, with its registered office at 17 Rue du Danemark, 56400 Auray, France.

Article 1 – Definitions

  • MWI : Marine Weather Intelligence.
  • Client : any legal entity or individual who has subscribed to one of the service offers or subscriptions (including free offers) provided by Marine Weather Intelligence.
  • User : any person using the platform with the authorization of the Client.
  • Credentials : the Client's login and password allowing access to the services provided on the Site.
  • Account : the space made available to the Client on the Site, allowing access, after authentication, to subscribed Services, contracts, and invoices where applicable.
  • Registration or Order Form : the form allowing the Client to register on the Site.
  • Services : all features, data, and tools provided via MWI platforms (SaaS platform, documents), including weather forecasting, routing, and decision-support services.
  • Acceptance : acceptance of these Terms by the Client, either by validating the Registration Form online or by accepting an offer to which these Terms are attached.
  • Site : https://app.mwi-shipping.com or https://app.mwi-yachting.com/ or any other link providing access to MWI services (SaaS platform, API).

Article 2 – Scope

These Terms of Use (the "ToU") define the conditions of access and use of the SaaS platforms published by Marine Weather Intelligence, registered under number 949 451 827 R.C.S. Lorient, France, with its registered office at 17 Rue du Danemark, 56400 Auray, France.

These platforms provide access to marine weather forecasting, routing, and decision-support services. No deviation from these ToU shall be valid unless expressly agreed in writing by Marine Weather Intelligence. The Client accepts these ToU without reservation, and they apply to all Services provided by Marine Weather Intelligence.

Article 3 – Services

Marine Weather Intelligence provides decision-support services at sea, including marine weather forecasting, routing, and predictive services, in accordance with the applicable Terms and Conditions of Sale.

User Responsibility for Navigation Decisions

MWI's services are decision-support tools only. They are designed to assist the User in making informed decisions at sea, but they do not replace professional judgment, certified navigation instruments, or official maritime safety procedures.

The User expressly acknowledges that:

  • weather data and routing suggestions provided by the platform are based on probabilistic models and are subject to inherent uncertainty;
  • the Services must never be used as the sole source of weather or navigation information;
  • all navigation decisions, including route selection, departure timing, and safety assessments, remain the sole responsibility of the User and/or vessel master.

MWI shall bear no liability for any consequences arising from decisions made on the basis of the platform's data or recommendations.

In the event of a breach of these ToU, Marine Weather Intelligence reserves the right to take any appropriate action, including suspension or immediate termination of access to the Services, without prior notice. Such termination is independent from termination provisions under the Terms and Conditions of Sale.

Article 4 – Access to Services

4.1 Technical Access

Services are accessible via any compatible device connected to a telecommunications network (computer, tablet, smartphone, or equivalent). The User is solely responsible for:

  • equipment setup and maintenance;
  • network connectivity.

All related costs (internet, satellite communication, etc.) are borne exclusively by the User. Some features may require integration with vessel tracking or data transmission systems, as described in technical documentation. Activation of certain Services may require prior purchase and may entail waiver of the right of withdrawal, in accordance with applicable Terms of Sale.

4.2 Credentials and Account Security

Users must create login credentials to access the Services. Credentials are:

  • personal, confidential, non-transferable.

The User is solely responsible for all activity conducted through their account. In case of loss, misuse, or unauthorized access, the User must immediately notify Marine Weather Intelligence and follow the password reset procedure.

4.3 Service Availability

Marine Weather Intelligence undertakes reasonable efforts to ensure availability and proper functioning of the Services. However, Services are provided under a best-efforts obligation. Access may be temporarily interrupted due to:

  • maintenance or upgrades;
  • technical incidents;
  • User-side failures;
  • force majeure events.

Marine Weather Intelligence shall not be liable for interruptions caused by network failures, data transmission issues, or external infrastructure disruptions. Marine Weather Intelligence does not guarantee any specific uptime level under its services. Clients requiring guaranteed service availability and defined incident response times should contact MWI to discuss dedicated service agreements.

4.4 Maintenance and Incident Reporting

Marine Weather Intelligence may temporarily suspend access for maintenance or improvements. Users may report issues via email or platform contact channels. Marine Weather Intelligence will use reasonable efforts to resolve reported issues promptly.

Article 5 – Liability

5.1 Liability of Marine Weather Intelligence

Services are provided in accordance with industry standards under a best-efforts obligation. Continuous availability or specific performance levels are not guaranteed unless expressly agreed in writing.

Weather data and forecasts are derived from scientific models and are inherently subject to uncertainty. MWI makes no warranty, express or implied, as to their accuracy, completeness, or fitness for any particular purpose.

The Services are decision-support tools only and shall not be used as an autonomous navigation system or as the sole source of weather or routing information. The User remains solely responsible for all decisions made on the basis of the Services.

MWI shall not be liable for:

  • any consequences arising from the use of or reliance on information provided through the Services;
  • service interruptions, regardless of cause;
  • failures of communication networks, satellite systems, or User-side equipment.

5.2 Limitations applicable to professional clients (B2B)

Where the Client is acting in a professional capacity, MWI shall under no circumstances be liable for indirect damages of any nature, including but not limited to:

  • loss of profit or revenue;
  • loss of business or contracts;
  • loss of data;
  • loss of opportunity;
  • reputational harm;

even if MWI has been advised of the possibility of such damages.

To the fullest extent permitted by applicable law, MWI's total cumulative liability to a professional Client, regardless of the legal basis of the claim (contract, tort, or otherwise), shall not exceed the total fees actually paid by that Client during the twelve (12) calendar months immediately preceding the event giving rise to the claim. This cap applies even if MWI has been advised of the possibility of such damages.

5.3 Provisions applicable to consumer clients (B2C)

Nothing in this Article shall limit or exclude MWI's liability for:

  • death or personal injury caused by MWI's negligence;
  • fraud or fraudulent misrepresentation;
  • any other liability that cannot lawfully be excluded or limited under applicable French consumer law.

The exclusions of indirect damages and the liability cap set out in Article 5.2 do not apply to consumer clients where such limitations would constitute an unfair term within the meaning of Articles L212-1 et seq. of the French Consumer Code. Consumer clients retain all rights afforded to them under applicable mandatory consumer protection legislation.

5.4 User Responsibility

The User confirms having legal capacity and undertakes to provide accurate and up-to-date information at all times. The User is solely responsible for:

  • the security of their account credentials;
  • the protection of their data and systems;
  • ensuring their use of the Services complies with applicable law.

The Client is responsible for all Users operating under its account and shall ensure that each User complies with these Terms. Data and content accessed through the Services are provided for the Client's strictly personal or internal professional use. Any reproduction, redistribution, resale, or commercial exploitation, in whole or in part, is strictly prohibited without MWI's prior written consent.

In the event of a breach of these obligations, the User agrees to indemnify and hold harmless Marine Weather Intelligence against any claim, loss, or damages resulting from such breach, including reasonable legal costs.

Article 6 – Personal Data and Confidentiality

Marine Weather Intelligence processes personal data in accordance with applicable laws, including the General Data Protection Regulation (GDPR) and French law. Details regarding data processing are provided in the Privacy Policy available on the Site, including: data categories, purposes, recipients, retention periods, and User rights.

Cookies and similar tracking technologies are used as described in the Cookie Policy available on the Site. Users are encouraged to review both policies before using the Services.

Marine Weather Intelligence has designated a point of contact for all data protection matters. The Data Protection Officer (DPO) can be contacted for any question relating to the processing of personal data, or to exercise rights of access, rectification, erasure, portability, restriction, or objection:

Users may also lodge a complaint with the relevant supervisory authority. In France, this is the Commission Nationale de l'Informatique et des Libertés (CNIL): www.cnil.fr. Users located in another EU member state may contact their local supervisory authority.

Article 7 – Intellectual Property

All elements of the Services (software, interfaces, databases, algorithms, models, data, content, trademarks, etc.) are protected by intellectual property laws. Marine Weather Intelligence retains full ownership of all rights. Use of the Services does not transfer any intellectual property rights to the User.

Users are prohibited from:

  • copying or modifying content;
  • distributing or commercially exploiting data;
  • reverse engineering or attempting to access source code;
  • infringing MWI's intellectual property rights.

Unauthorized use may result in suspension and legal action.

Article 8 – Service and Terms Evolution

8.1 Service changes

Marine Weather Intelligence may modify, improve, or discontinue features of the Services at any time, including adding, modifying, or removing functionalities. Where a change materially affects the Client's use of the Services, MWI will provide reasonable prior notice.

8.2 Updates to these Terms

These Terms of Use may be updated periodically. When changes are made, MWI will notify Users by email or via an in-platform notification at least thirty (30) days before the updated Terms enter into force.

  • For professional clients (B2B): continued use of the Services after the notice period constitutes acceptance of the updated Terms.
  • For individual clients (consumers, B2C): continued use of the Services after the notice period will be considered acceptance only where the changes do not create a significant imbalance between the parties' rights and obligations. Where changes are materially detrimental to the consumer, MWI will request explicit re-acceptance before the new Terms apply. The consumer retains the right to terminate the contract without penalty before the new Terms enter into force if they do not wish to accept the changes.

Article 9 – Hyperlinks

The Site may contain links to third-party websites. Marine Weather Intelligence has no control over such sites and assumes no responsibility for their content, availability, or services.

Links to MWI sites are permitted provided they do not harm its reputation. Framing, in-line linking, or misleading linking practices are prohibited without prior written consent.

Article 10 – Governing Law and Jurisdiction

These Terms of Use are governed by French law. Any dispute relating to their interpretation, validity, or performance shall fall under the jurisdiction of the competent courts within the jurisdiction of Marine Weather Intelligence's registered office in France, unless mandatory legal provisions provide otherwise.
